Microsoft will not run for Yahoo anymore

It’s been more that 3 months that Microsoft has been running after Yahoo to compete against the king of internet advertising – Google. Before it had offered the bid of $44.6bn but after Yahoo rejected the offer Microsoft raised its offer to $47.5bn (£24.1bn) which is around $33 per share. Still when Yahoo showed no interest of any kind and was asking for a bid not less than $53bn, or $37 a share, Microsoft finally had to let it go. Now it looks like Google will continue its domination in the world of internet advertising for some more years.

Dear Jerry:

After over three months, we have reached the conclusion of the process regarding a possible combination of Microsoft and Yahoo!.

I first want to convey my personal thanks to you, your management team, and Yahoo!’s Board of Directors for your consideration of our proposal. I appreciate the time and attention all of you have given to this matter, and I especially appreciate the time that you have invested personally. I feel that our discussions this week have been particularly useful, providing me for the first time with real clarity on what is and is not possible.

I am disappointed that Yahoo! has not moved towards accepting our offer. I first called you with our offer on January 31 because I believed that a combination of our two companies would have created real value for our respective shareholders and would have provided consumers, publishers, and advertisers with greater innovation and choice in the marketplace. Our decision to offer a 62 percent premium at that time reflected the strength of these convictions.

In our conversations this week, we conveyed our willingness to raise our offer to $33.00 per share, reflecting again our belief in this collective opportunity. This increase would have added approximately another $5 billion of value to your shareholders, compared to the current value of our initial offer. It also would have reflected a premium of over 70 percent compared to the price at which your stock closed on January 31. Yet it has proven insufficient, as your final position insisted on Microsoft paying yet another $5 billion or more, or at least another $4 per share above our $33.00 offer.

Also, after giving this week’s conversations further thought, it is clear to me that it is not sensible for Microsoft to take our offer directly to your shareholders. This approach would necessarily involve a protracted proxy contest and eventually an exchange offer. Our discussions with you have led us to conclude that, in the interim, you would take steps that would make Yahoo! undesirable as an acquisition for Microsoft.

We regard with particular concern your apparent planning to respond to a “hostile” bid by pursuing a new arrangement that would involve or lead to the outsourcing to Google of key paid Internet search terms offered by Yahoo! today. In our view, such an arrangement with the dominant search provider would make an acquisition of Yahoo! undesirable to us for a number of reasons:

  • First, it would fundamentally undermine Yahoo!’s own strategy and long-term viability by encouraging advertisers to use Google as opposed to your Panama paid search system. This would also fragment your search advertising and display advertising strategies and the ecosystem surrounding them. This would undermine the reliance on your display advertising business to fuel future growth.
  • Given this, it would impair Yahoo’s ability to retain the talented engineers working on advertising systems that are important to our interest in a combination of our companies.
  • In addition, it would raise a host of regulatory and legal problems that no acquirer, including Microsoft, would want to inherit. Among other things, this would consolidate market share with the already-dominant paid search provider in a manner that would reduce competition and choice in the marketplace.
  • This would also effectively enable Google to set the prices for key search terms on both their and your search platforms and, in the process, raise prices charged to advertisers on Yahoo. In addition to whatever resulting legal problems, this seems unwise from a business perspective unless in fact one simply wishes to use this as a vehicle to exit the paid search business in favor of Google.
  • It could foreclose any chance of a combination with any other search provider that is not already relying on Google’s search services.

Accordingly, your apparent plan to pursue such an arrangement in the event of a proxy contest or exchange offer leads me to the firm decision not to pursue such a path. Instead, I hereby formally withdraw Microsoft’s proposal to acquire Yahoo!.

We will move forward and will continue to innovate and grow our business at Microsoft with the talented team we have in place and potentially through strategic transactions with other business partners.

I still believe even today that our offer remains the only alternative put forward that provides your stockholders full and fair value for their shares. By failing to reach an agreement with us, you and your stockholders have left significant value on the table.

But clearly a deal is not to be.

An article on administering vBulletin

I have many blogs in which I am using wordpress and blogspot in some. This time I wanted to make a forum, sort of a bulletin board but I was very confused which software to use. I came across this article about The vBulletin Administrator Experience experience as I was searching for software to create a forum in my latest domain. The Gaining Popularity of Online Games

Games have always been a popular means of entertainment for people of all ages. In the past it were all physical forms of games like basketball, football, hockey, chess, carom, etc that were very popular but now time has really turned and people rarely have time for all these physical actions. So, what became popular are the computer games as one can just stay at home and play as much as he/she wants to and then take a break as much as s/he likes. The Mobile Telephone System

The traditional telephone system (even if it some day gets multi-gigabit end-to-end fiber) will still not be able to satisfy a growing group of users: people on the go. People now expect to make phone calls from airplanes, cars swimming pools, and while jogging in the park. Within a few years they will also expect to send e-mail and surf the Web from all these locations and more. Consequently, there is a tremendous amount of interest in wireless telephony.
Wireless telephones come in two basic varieties: cordless phones and mobile phones (sometimes called cell phones). Cordless phones are devices consisting of a base station and a handset sold as a set for use within the home. These are never used for networking. And mobile phones are used for wide area voice and data communication. Mobile phones have going through 3 distinct generations, with different technologies:
1. Analog voice (1st Generation)
2. Digital voice (2nd Generation)
3. Digital voice and data (3rd Generation with Internet, e-mail, etc)
The first generation of mobile phones was analog, dominated by Advanced Mobile Phone System (AMPS). In all mobile phone systems, a geographic region is divided up into cells, which is why the devices are sometimes called cell phones. In AMPS, the cells are typically 10 to 20 km across; in digital systems, the cells are smaller. Each cell uses some set of frequencies not used by any of its neighbors. The key idea that gives cellular systems far more capacity than precious systems is the use of relatively small cells and the reuse of transmission frequencies in nearby (but not adjacent) cells.
The second generation of mobile phones was digital. Just there was no standardization during the first generation; there was also no standardization during the second, either. Four systems are in use: D-AMPS, GSM, CDMA, and PCA.
PCA is used only in Japan and is basically D-AMPS modified for back-ward compatibility with the first-generation Japanese analog system. Personal Communications Services (PCS) originally meant a mobile phone using the 1900 MHz band, but that distinctions rarely made now. The second generation of the AMPS systems is D-AMPS and is fully digital. D-AMPS is widely used in the U.S. and (in modified form) in Japan. Virtually everywhere else in the world, a sstem called GSM (Global System for Mobile Communication) is used, and it is even starting to be used in the U.S. on a limited scale. GSM channels are much wider than the AMPS channels (200 kHz versus 30 kHz) and hold relatively few additional users (8 versus 30, giving GSM a much hither data rate per user than D-AMPS. Global system for mobile communications (GSM) was developed on TDMA protocol in Europe; GSM is now the worldwide standard technology for mobile communications.

The advantage of GSM is that it provides a high level of security, globally accepted technology standards and superior sound quality. For any GSM phone to work, it requires a Subscriber Identity Module (SIM), a card that contains your telephone account information. Thus, a national GSM phone can be used in other foreign countries too.
What is the future o mobile telephony? High quality voice transmission, Messaging (replacing e-mail, fax, SMS, chat etc.), Multimedia (playing music, viewing videos, films, television, etc.) and Internet access (Web surfing, including pages with audio and video). GPRS, short for General Packet Radio Services, is an enhancement to GSM technology that integrates GSM and IP technology. GPRS offers always-on, high speed connectivity to the Net. Thus you can check your email on the move and surf the Web at high speeds. In this hi-tech age, people on the move need any-time access to the Net. This is where WAP comes in.
It provides Internet access to cell phones. It is an open standard for wireless protocols that is independent of the service providers. To display Web content, the cell phone must have a WAP browser. Nowadays, cell phones often come with GPRS and WAP technology. WAP and GPRS also allow you to download games, send mail and even transfer your messages to your PC. The new EDGE ((Enhanced Data GSM Environment) interface has been developed specifically to meet the bandwidth needs of 3G. Promoted by Ericsson, it offers high-speed data transfers over GSM networks with just a software upgrade to the handset. EDGE allows speeds up to 384 kbps.
Now it’s the time of 3rd generation mobile communication.

Congratulation to Google

A week ago may be…I had posted a review with a title ‘Microsoft wants to purchase Yahoo’. Well, many people were very hopeful about the offer because the offer that Microsoft had set ($44.6bn) was 62% above Yahoo's closing share price at that time. But may be it isn’t just in Microsoft’s fate to own Yahoo. Yahoo's shares closed on Friday at $29.20 which made it clear that Yahoo was not willing to give it up that easy.

According to Yahoo the offer Microsoft put “substantially undervalues” the company and is not in the shareholders’ best interest.

A source quoted by the Wall Street Journal said that Yahoo's board would be unlikely to consider anything below $40 per share which would be a 109% premium to the $19.18 closing price of Yahoo's shares the day before the original offer was announced.

So …congrats to Google. I still don’t need to fear much from Microsoft and Yahoo both.

Sellers getting angry at EBay’s decision

EBay is a great website where you can buy or sell things online, something like an online shopping mall. I haven’t yet bought or sold a thing there but I frequently visit the site to see if I can get a hold at a good deal for myself. Hopefully, I’ll find something soon. Well, it came to my ears that EBay is planning to overhaul its feedback system to restrict sellers from giving negative comments about the buyers.

EBay also stated that this is all because the negative comments from the sellers are seriously hampering the trade as it’s creating a feeling for getting even amongst the buyers. But in other side, the sellers are getting angry at this decision as this has left them vulnerable and unprotected.

Will Yahoo sell itself to Microsoft?

I have subscribed to in my firefox and today when I checked it I got my today’s scoop. At the top there was may be one of the biggest news of the year with the title “Microsoft wants to purchase Yahoo”. Well, I had been hearing the rumors that both Yahoo and Microsoft have shaken hands to compete against Google but I never knew tat Microsoft was going to purchase Yahoo.

It is stated in the news that Microsoft has offered to buy Yahoo for $44.6bn (£22.4bn) in cash and shares. The offer is 62% above Yahoo's closing share price on Thursday and the fact can’t be ignored that Yahoo has been struggling lately due to competition with Google and it would have to spend an additional $300m this year just to revive from its loss.

But still, it’s just an offer and Yahoo is a great site plus search engine. Merging with Microsoft might not be a good deal I guess. Anyways, it’s just an offer. It is still to be evaluated and the most important thing is long-term value for shareholders. Lets see how Yahoo responds.

Opera files antitrust complaint with the EU against IE

Many people may not be aware of the fact that Opera is the only web browser that can put the web on any device (from computers, cell phones, portable media players and even game consoles). Opera Software ASA filed a complaint with the European Commission aimed at giving consumers with an actual choice of Web browsers.

Well, most of the desktops and workstations have Microsoft’s Windows as their OS and we all know this that Windows comes a default browser, Internet Explorer (IE). Now according to Opera people are getting locked-in to IE though there are several other better choices in web browsers. They think that people should be given a genuine choice to choose among the web browsers like other softwares. Microsoft is misusing its power by tying its browser, Internet Explorer, to the Windows operating system. “IE doesn’t meet accepted Web standards.” is what Opera says.

"We are filing this complaint on behalf of all consumers who are tired of having a monopolist make choices for them. In addition to promoting the free choice of individual consumers, we are a champion of open Web standards and cross-platform innovation. We cannot rest until we've brought fair and equitable options to consumers, worldwide.” said Jon von Tetzchner, CEO of Opera.

Opera requested the Commission to first make Microsoft unbundle Internet Explorer from Windows and/or carry alternative browsers pre-installed on the desktop. 2ndly they also want the commission to get Microsoft to follow fundamental and open Web standards accepted by the Web-authoring communities.

There was a similar case of Microsoft illegally tying Windows Media Player to Windows in September 07 and Opera wants to bring the focus of the commission to this tie up. They think that such tie-ups have profound effects on consumers and innovation.

How To Make your PC secure on the Net

Whilst surfing the Internet, you are potentially exposing your PC to all sorts of malicious code that can invade your computer, seriously harming your system and data while also hogging system resources or reducing PC performance and Internet bandwidth. Here are seven ways to protect yourself against malware.

1. Update your operating system regularly

The first step in protecting your PC, and your valuable data, is to ensure that the operating system (OS) is updated with the latest security patches. This is critical as OS manufacturers, such as Microsoft Windows, update the security features of their products continuously to cover any potential and actual loopholes.

2. Buy good anti-virus software

Secondly you should have updated anti-virus software running on your system. This software must be able to scan email and files, as they are downloaded from the Internet, to help prevent malware reaching your system. It is also important to make sure that this anti-virus software is updated frequently, with fixes to the actual engine and to the database files, ensuring they contain the latest cures against new viruses, worms and Trojans.

3. Know your processes

Knowing what is running on your computer will increase your ability to identify potentially harmful processes. Call up the Windows Task Manager (press CTRL+ALT+DEL) and familiarize yourself with the processes running at any point in time. You can use a handy free tool - ProcessScanner (http://www.processlibrary.com/processscan) which tells you exactly what’s running on your PC, what each process does and what program it’s associated with. Alternatively, ProcessLibrary.com includes a free download: ProcessQuicklink. This plug-in makes detailed information, about each process running on your PC, available with a single click from within the Windows Task Manager.

4. Use firewalls on the Internet

You should also remember to install firewall software or use the native Windows firewall. A good firewall prevents unauthorized use of, and access to, your computer from external sources (eg hackers or hijackers) while also giving you additional protection against the more common Trojans and worms. A firewall, on its own, will not get rid of the virus problem but, when used in conjunction with other measures, will give you deeper system security and protection.

5. Know your registry

Residual files, unused or undeleted drivers, and corrupt or bad entries in registry settings will quickly litter even the newest of computers causing a loss of performance and general PC instability. If you keep your registry clean and know what is inside, you will be in a better position to realize immediately when performance has taken a downturn. Therefore it is advisable to invest in a good registry cleaner: one that allows you to scan your registry thoroughly and fix all errors. Moreover, the cleaner must be able to backup your registry.

6. Invest in anti-spyware software

You should install an anti-spyware software package. In fact many experts go as far as suggesting installing two or three solutions since any single package may not be powerful enough to find all the entries and changes to your registry, and other files, made by spyware. This may be going a little far, however spyware is a dangerous threat and protecting yourself is important.

7. And, for when the unimaginable happens… backup your data

Prevention is better than cure. However you may still catch a virus no matter how tight your security is. It is always advisable to backup all your data regularly (at least once a week). And, if you are a frequent PC user, you should backup your data on a daily basis.

6666666 is now the World's most expensive mobile number

I’ve written a post about some expensive mobile phones and other expensive stuffs but this is something new even for me. A mobile number was sold for 10m Qatari riyals or £1.5m. Your mouth must me wide open huh. Yes, I’m not kidding in any way. This is a fact. And the magic number is 6666666 (sever sixes). I beat the previous record of £270,000 which was set by a Chinese number 88888888.

The auction was held in 23rd May 2006 in Qatar by national Telco Qtel and was started at a million riyals. According to Kuwaiti News Agency (KUNA) the auction took an interesting mode narrowing from eight bidders to just two and later ending up in 10m riyals. Rumor has it that the number is to be transferred to Iranian President.

I don’t know much about numerology or any other number stuff but I sure now that £1.5m is hell of a very big number in itself.

Testers See Windows XP Passing Vista

Microsoft Corp.’s Windows XP operating system is about to get faster and Windows Vista isn’t, according to a report that caused a stir online this week as industry watchers speculated that a zippier XP could keep customers from upgrading to Vista.

Microsoft, however, said it’s too early to evaluate the two service packs it plans to release next year.

Early versions are already in the hands of testers like Devil Mountain Software Inc., which helps big financial services companies track trading-floor computer performance.

Wellington, Fla.-based Devil Mountain Software ran several versions of XP and Vista through a test simulating common desktop computing tasks. It found the original Vista performed 50 percent to 100 percent slower than the prevalent XP Service Pack 2, or SP2.

Vista SP1, due out in the first quarter of 2008, barely improved the operating system’s performance.

But XP SP3, scheduled for the first half of 2008, did improve on XP’s earlier performance, running 10 percent faster than SP2.

That’s a strike against Vista for IT professionals on the fence about switching, according to Craig Barth, the company’s chief technology officer.

Kevin Kutz, director of Microsoft’s Windows Client group, said the company is working on speeding up tasks like moving files between PCs, but it’s a work in progress.

Michael Cherry, an analyst for research group Directions on Microsoft, said it’s impossible to say if Microsoft has started tuning Vista SP1 for speed. Even if XP gets faster, consumers and businesses may still switch to Vista.

”It might be an acceptable thing to me if it were slightly slower but more stable,” Cherry said.

Benjamin Gray, an analyst for Forrester Research, said businesses will upgrade to Vista regardless, to ‘’stay current with Microsoft’s support life cycle.”
